                                    NARRATIVE

     State below in reasonable detail why the Form 10-K, 11-K, 20-F 10-Q, N-SAR
or the transition report portion thereof could not be filed within the
prescribed time period. (Attach extra sheets if needed.)

     On May 31, 2000, the Company (along with certain of its subsidiaries) filed
a voluntary petition in the United States Bankruptcy Court for the District of
Maryland (Baltimore) for relief under Chapter 11 of the United States Bankruptcy
Code and reported this filing on a Current Report on Form 8-K filed on June 2,
2000.

                  The burdens on the Company's management and other personnel
resulting from the need to focus on bankruptcy related matters, along with a
reduction in staff, have significantly delayed the review and preparation of the
periodic reports required to be filed under the Exchange Act.

         Since filing for relief under Chapter 11 of the United States
Bankruptcy Code on May 31, 2000, the Company has significantly reduced the
number of locations selling its product and the number of employees and sales
agents. As a result, the Company has incurred negative cash flows from
operations and continued operating losses.

     Also as a result of the Company's bankruptcy filing, the Company is in the
process of evaluating all of its assets and liabilities, and the outcome of this
evaluation could significantly impact the Company's results of operations for
the quarter ended June 30, 2000. Until this evaluation process is complete, the
Company cannot provide an estimate of the results of operations for the quarter
ended June 30, 2000.
