(1)This option vests as to 424 shares on July 1, 2000 and as to an
additional 416 shares on the first day of each calendar quarter thereafter until
fully vested; provided that this option will become immediately vested upon (i)
the completion of a merger in which the issuer is not the survivor or
consolidation of the issuer with another entity, (ii) the sale of substantially
all of the issuer's assets to another entity, or (iii) the sale of more than 50
percent of the outstanding capital stodck of the issuer to an unrelated person
or group of persons actiong collectively in one or a series of transactions.
