Explanation of Responses:
(1)This option vests as to 3,336 shares on January 26, 2001, and as to
an additional 833 shares on the first day of each calendar quarter
thereafter until fully vested. This option will vest in full
immediately upon (i) the completion of a merger in which the
corporation is not the survivor or consolidation of the corporation
with any other entity, (ii) the sale of substantially all of the
corporation's assets to another entity or (iii) the sale of more than
50% of the outstanding capital stock of the corporation to an
unrelated person or group of persons acting collectively in one or a
series of transactions.
