     We were incorporated in the State of Oklahoma in 1985. We changed our name
to The viaLink Company in 1998 and reincorporated in the State of Delaware in
1999. Our principal executive offices are located at 13155 Noel Road, Suite 800,

     We are registering all 620,400 shares on behalf of certain selling
stockholders. All of the shares either originally were or will be issued by us
upon exercise of options or warrants to acquire shares of our common stock. We

offered in this offering. The selling stockholders or pledgees, donees,

CERTAIN RELATIONSHIPS AMONG THE SELLING STOCKHOLDERS AND VIALINK

     We have had material relationships with the selling stockholders in the
past three years. On May 3, 1999 we formed a strategic relationship with Cap
Gemini Ernst & Young LLC, as successor-in-interest to Ernst & Young U.S. LLP,
whereby they have agreed to provide us with marketing and sales support and
consulting and integration services in connection with the deployment of our
Item Catalog service. We have agreed to pay Cap Gemini Ernst & Young a royalty
equal to 7% of our revenues from our subscription services for a period of two
years. If certain performance objectives are achieved, this royalty could be
extended in perpetuity.

     From June 1997 to December 1998, David C. Mitchell served as president and
as a member of the board of directors of ijob, Inc., formerly our wholly-owned
subsidiary. In June 1997, ijob acquired Human Technologies Inc., which was owned
by Mr. Mitchell and Ronald Beasley, in exchange for options to purchase 200,000
shares of our common stock at a price of $0.875 per share. Of these 200,000
options, 152,000 were granted to Mr. Mitchell and 48,000 were granted to Mr.
Beasley. On December 31, 1998, we sold ijob to DCM Company, Inc., a corporation
wholly-owned by Mr. Mitchell.

     Unless otherwise noted, all stockholders listed have sole voting and
investment power with respect to their shares. There are no family relationships
between our executive officers and directors.

selling stockholders pursuant to the offering will be passed upon for us by Dunn
