Illinova Generating Company ("IGC"), an Illinois corporation
and a subsidiary of Illinova Corporation ("Illinova"), an exempt
holding company under Section 3(a)(1) of the Public Utility
Holding Company Act of 1935, as amended (the "Act"), acting on
behalf of Fideicomiso Fidugan-Termoelectrica Las Flores, a trust
organized under Colombian law (the "Flores I Trust"), hereby
notifies the Securities and Exchange Commission (the
"Commission") that the Flores I Trust is, and claims status as, a
"foreign utility company" within the meaning of Section 33 of the
Act ("FUCO").

The Flores I Trust operates a 150 megawatt ("MW") electric
generating facility located in the city of Barranquilla, Colombia
(the "Facility"). The Facility is owned by Banco Ganadero
Panama, a Panamanian bank, and leased to the Flores I Trust. The
Flores I Trust has an option to purchase the Facility under
certain conditions. Capacity and energy from the Facility is
sold to Corporacion Electrica de la Costa Atlantica pursuant to a
15-year power purchase agreement. Illinova will acquire,
indirectly through subsidiaries of IGC, a 50% ownership and
voting interest as a trust beneficiary in the Flores I Trust.
The remaining 50% ownership and voting interest in the Flores I
Trust is held by various legal entities, none of which is an
associate company of a public-utility company located in the
United States.
Item 2. Domestic Associate Public-Utility Companies of the
FUCO and their Relationship to the FUCO.
Illinois Power Company ("IPC"), which provides electric
service in portions of the State of Illinois, is a domestic
public utility associate company of the Flores I Trust. IPC is a
direct, wholly owned subsidiary of Illinova. IPC has no direct
or indirect ownership interest in the Flores I Trust and has not
paid any portion of the purchase price for Illinova's interest in
the Flores I Trust. Furthermore, IPC does not have any
contractual relationship with the Flores I Trust.
EXHIBIT A. State Certification.
Pursuant to Section 33(a)(2) of the Act, filed herewith as
Exhibit A is a letter, dated January 5, 1996, from the Illinois
Commerce Commission (the "ICC"), certifying that the ICC has the
authority and resources to protect IPC's ratepayers subject to
ICC jurisdiction and intends to exercise its authority.

interest in electric facilities in one or more foreign countries. We submit

Utility Holding Company Act of 1935, as amended (the "Act").
The Illinois Commerce Commission hereby certifies to you that we have,
pursuant to the Illinois Public Utilities Act, the authority to protect
ratepayers subject to our jurisdiction and that we, as the public utility
regulatory body for the State of Illinois, intend to exercise our authority
to the fullest extent allowed by State and Federal law.
We have jurisdiction over the retail electric and gas rates of Illinois
Power Company, which is a public utility company as such term is defined in
the Act.
