State below in reasonable  detail why the Form 10-K,  11-K, 20-F 10-Q,  N-SAR or
the transition  report portion  thereof could not be filed within the prescribed

The extension is needed due to that  Registrant has switched  auditors and their
audit is not yet complete. The Registrant has also changed their fiscal year end
from  December 31 to  September 30 and in doing so has  encountered  a few small
problems with respect to the change.
