On behalf of Computer Generated Solutions, Inc. (the "Company"), we
hereby request the withdrawal of the Company's Form 8-A filed with the
Securities and Exchange Commission (the "Commission") on July 31, 1996 (File No.
000-21117), relating to the Company's proposed public offering of up to
$34,500,000 of the Company's Common Stock, $0.001 par value per share.
The Company intends to refile the Form 8-A at a later date which is
closer to the anticipated effective date of the Company's Registration Statement
on Form S-1, originally filed with the Commission on July 31, 1996 (the
"Registration Statement"), with a request to accelerate the effectiveness of the
Company's new Form 8-A to the date the Registration Statement is to become
effective.
