The Company spunoff its manufacturing process to a new subsidiary during the
three months ended July 31, 1999, and as a result of the financial disclosures
regarding this change, the Company sought the review of outside accountants.
This review resulted in a number of changes being required which delayed the
completion of the 10-QSB.
