                             INTRODUCTORY STATEMENT


      The Kroll-O'Gara Company is filing this Registration Statement on Form S-8
insofar as it relates to shares of Kroll-O'Gara Common Stock to be issued
pursuant to the terms of the Securify Inc. (formerly known as Veriguard Inc.)
1998 Stock Option Plan and the Securify Inc. 1998 Stock Plan (collectively the
"Plans").

      On December 31, 1998, a wholly owned subsidiary of The Kroll-O'Gara
Company merged into Securify Inc. and Securify became a wholly owned subsidiary
of The Kroll-O'Gara Company. As a result of the merger, The Kroll-O'Gara Company
assumed Securify's obligations under the Plans.
