PART III -- NARRATIVE
State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q,
N-SAR, or the transition report or portion thereof, could not be filed within
the prescribed time period.
In the fourth quarter of fiscal 1998, the Company announced operating results
that were below expectations and losses per share. As a result, commencing in
the beginning of August 1998, the Company's management focused substantial
resources on planning a Company-wide restructuring. The actual plan of
restructuring, which involves a consolidation of the Company's East-coast and
West-coast engineering, was not finalized until mid-October, when it was
announced internally to Company employees. The Company personnel who are
directly responsible for drafting the Annual Report on Form 10-K were also
directly responsible for much of the planning and implementation of the
restructuring. As a result, these personnel were unable to complete the Form
10-K as originally scheduled.

While the Company's revenues for the fourth quarter of fiscal 1998 were
higher than its revenues for the comparable quarter in fiscal 1997, the
Company's losses were substantially higher, as previously announced.
There has been no change in the announced results for the fourth quarter
of fiscal 1998 or the full year.
