The 10-Q Report for the period ending September 30, 2000 could not be filed
by November 14, 2000 without unreasonable effort or expense for the following
reason:
On account of the illness, hospitalization and delayed recovery of the Company's
Chief Financial Officer, additional time is needed to file a complete and
accurate 10-Q.
