The Company currently is conducting a detailed analysis of its revenue
recognition procedures in consultation with its auditors. The Company
requires additional time to quantify the impact of revenues recorded on
shipment of product where the Company has installation obligations. The
Company anticipates filing its Form 10-K with the Securities and Exchange
Commission on or prior to October 13, 2000.

estimate of the results cannot be made.
The Company expects a significant change in its results from operations for
the fiscal year ended June 30, 2000 as compared to the fiscal year ended
June 30, 1999 for the following reasons. During fiscal 2000, the Company
experienced a shortfall in revenues of approximately $7.0 to $9.0 million in
its hardware business due primarily to lower than expected demand following
Y2K purchases. The Company also incurred approximately $3.0 to $4.0 million
of costs associated with the build-out of its new application service
provider division coupled by $3.9 million of severance charges relating to
severance of certain senior management within such division. Finally, the
Company anticipates pre-tax non-revenue recognition adjustments for fiscal
2000 of $0.7 million of adjustments primarily relating to write-offs of
certain inventories and advertising costs, purchase accounting and
compensation expense. The Company is in the process of quantifying its
revenue recognition related adjustments and at this time is not able to
assess the scope of such adjustments, if any.
The Company's net loss available to common shareholders has been impacted
principally by a $5.4 million non-cash charge for the beneficial conversion
feature associated with the Series A preferred stock issued by the Company
during the year.
