Explanation of Responses:
(1)
On March 21, 2000, Mark J. Schulte transferred 10,000 shares to The Prime Group, Inc. ("PGI") to satisfy his obligations under a
letter agreement dated July 13, 1998 with PGI (the "Letter Agreement"). Pursuant to the Letter Agreement, Mr. Schulte was
obligated to transfer 10,000 shares to PGI upon the exercise by Darryl W. Copeland, Jr. of his option to purchase 100,000 shares
from PGI pursuant to the Stock Option and Deposit Agreement between Mr. Copeland and PGI. On December 7, 1999, Mr. Copeland sold
his option to Brookdale Living Communities, Inc., which immediately exercised the option and purchased 100,000 shares from PGI.
