          (the "Partnership").

     (b)  The address of the principal  executive  offices of the Partnership is

     (a)  The persons  filing this  statement on Schedule 13G (the  "Statement")
          are  Everest  Investors  9,  LLC  and  its  managing  member,  Everest
          Properties II, LLC.
