minor children. Mr. Hecht disclaims beneficial ownership of such shares.
(2) Shares held by Mr. Hecht's child who lives with him. Mr. Hecht
disclaims beneficial ownership of such shares.
(3) 101,977 shares and 50,920 shares were distributed to Mr. Hecht on
September 15, 1997 and March 20, 1998, respectively, by Pittsburgh
Investment Group, LLC, of which Mr. Hecht is a member. Such
distributions were not reportable pursuant to Rule 16a-9(a) under the
Securities Exchange Act of 1934, as amended.
(4) Granted under the Company's Non-Employee Directors Stock Option Plan.
(5) The options vest in three equal installments on the date of the
Company's Annual Meeting of Shareholders beginning with the Company's
1997 Annual Meeting of Shareholders.
