PART III -- NARRATIVE
State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q,
N-SAR, or the transition report or portion thereof, could not be filed within
the prescribed time period.
The Company currently is engaged in negotiations with a banking
institution to replace the credit facility with Norwest Business Credit,
Inc., which expires on April 15, 1998. The Company anticipates using
the proceeds from the credit facility with the new banking institution
to pay off the Norwest credit facility. As a result of the foregoing
circumstances,the Company has not completed related disclosures in its
Annual Report on Form 10-K and has delayed completion of its audit
report. The substance of both the Company's Annual Report on Form 10-K
and the report of the Company's independent auditors and the financial
statements of the Company for the calendar year ended December 31, 1997
may be affected by the outcome of the Company's negotiations with this
banking institution.

As a result of the filing for bankruptcy by the Company's primary
customer, Super Shops, Inc., in September 1997, the Company has
established an allowance for bad debt reserve related to the accounts
receivable from Super Shops in the amount of $3,258,115, which will
reduce the Company's revenues for 1997 by a corresponding amount. The
bankruptcy filing by Super Shops also has caused the Company to be in
default with respect to its credit facility with Norwest Business
Credit, Inc., which expires on April 15, 1998. The Company has been
negotiating with other banking institutions to secure a replacement
credit facility. As a result of the foregoing circumstances,the Company
has not completed related disclosures in its Annual Report on Form 10-K
and has delayed completion of its audit report. The substance of both
the Company's Annual Report on Form 10-K and the report of the Company's
independent auditors and the financial statements of the Company for the
calendar year ended December 31, 1997 may be affected by the outcome of
the Company's negotiations with this banking institution.
