The Company completed an acquisition of Gigatek Srl, an Italian entity, late in
the quarter. The Company expects to account for the transaction as a pooling of
interests which would require the restatment of prior periods. The Company needs
additional time to complete the restated consolidated financial statements.

    Commission, Washington, D.C. 20549, in accordance with Rule 0-3 of the
    General Rules and Regulations under the Act. The information contained in
