ITEM 3: SOURCE AND AMOUNT OF FUNDS OR OTHER CONSIDERATION.

All Purchases have been by Brown's Individual
Retirement Account, Dain Rauscher custodian.
Acquisition costs total $298,418.78 through
September 11, 2000.

of the Issuer in the future and has no knowledge
of any other person's acquisitions or
