NARRATIVE
The Kingsley Coach, Inc. is unable to file its Quarterly Report on Form 10-QSB
within the required time period because its Transition Report on Form 10-KSB
was not completed until late October. The effort to complete the Company's
audit delayed the work necessary to file the Quarterly Report on time.
