On December 6, 1999, we announced a definitive agreement for the Company to
acquire the ACT! Product Line and related business from Symantec Corporation.
Under the terms of the agreement, we will acquire an exclusive license of ACT!
and an option to purchase the product line at the end of the four year license
term for an aggregate purchase price, including royalties, of $60 million in
cash, plus $20 million in SalesLogix Common Stock, based on the average market
value of such stock during the twenty trading days preceding the announcement.
Our press release, dated December 6, 1999, titled "SalesLogix to Acquire ACT!
and Multi-Million User Base to Expand Share of CRM Market" is attached hereto as
Exhibit 99.1.

Also on December 6, 1999, we announced the initial phase of our launch of
Interact.com, a new business-to-business sales community solution, which is part
of our new multi-brand e-business strategy also announced on December 6, 1999.
Our press releases, dated December 6, 1999, titled "SalesLogix Announces
Interact.com; First B2B Sales Community Solution for 42+ Million Salespeople"
and " SalesLogix Announces New Multi-Brand E-Business Strategy to Transform CRM
Marketplace" are attached hereto as Exhibit 99.2 and 99.3, respectively.

WE FACE RISKS RELATED TO THE ACT! ACQUISITION

The process of integrating the ACT! business with our business is subject to
risks commonly encountered in integrating acquisitions, including, among others,
risk of loss of key personnel; difficulties associated with assimilating
technologies, products, personnel and operations; potential disruption of our
ongoing business; the ability of our sales force, business partners, consultants
and development staff to adapt to the new product line; our lack of previous
experience in operating a "shrink wrap", retail-distribution business; and
unanticipated costs associated with the acquisition. We may not successfully
overcome these risks or any other problems encountered in connection with the
acquisition of ACT!.

WE FACE RISKS RELATED TO FINANCING THIS ACQUISITION AND OUR E-BUSINESS STRATEGY

We expect that implementation of our e-business strategy will require
substantial amounts of capital, and we expect to experience operating losses at
least through calendar year 2000. As of September 30, 1999, we had cash and cash
equivalents of $29.4 million and our working capital was $35.1 million. We
anticipate that these available funds, combined with our operating results, will
not be sufficient to finance our operating activities and capital expenditures
after adoption of our new e-business strategy and acquisition of ACT!, including
royalty payments to Symantec, direct transactional costs, and transition costs.
Our e-business strategy depends in part upon maintaining the existing ACT!
business and transitioning the ACT! user base to our new subscription products.
If we are not successful in maintaining revenues from the ACT! products and
customer base, or in transitioning the ACT! user base to our Web-based services,
our financing needs may accelerate. Accordingly, we are currently in the process
of pursuing additional financing through a private placement of debt and/or
equity securities in the first quarter of 2000, and/or a secondary public
offering of our common stock as early as in the second quarter of 2000, market
and other conditions permitting. Although we believe that such financing
alternatives will be available, there is no assurance that available financing
will be available on reasonable business terms or terms acceptable to us, or
that market conditions will permit any secondary public offering on terms
acceptable to us. In addition issuing additional equity securities will dilute
current stockholders' percentage ownership, and incurring substantial debt may
impose restrictions that could disrupt our ongoing business and increase our
expenses. If we are unable to obtain sufficient financing on terms acceptable to
us, our business, financial condition and operating results would be materially
adversely affected.

WE FACE RISKS RELATED TO IMPLEMENTATION OF OUR NEW E-BUSINESS STRATEGY

Our new e-business strategy is generally based on a business model that relies
on third parties to provide certain services to be included in our product
offering and on subscription, e-commerce and advertising for revenues. This
e-business model is unproven and there can be no assurance that customer
relationship management users will accept Interact.com on the terms offered by
the Company, or utilize its features. In addition, current and potential
competitors, including Siebel Systems (Sales.com), Salesforce.com and Agillion,
some of which have substantially more resources than we do, have established or
may establish customer relationship management e-business strategies to increase
the ability of their products or services to address the needs of our existing
and prospective customers. If we are not able to successfully address these
risks, we will not be able to grow our business, compete effectively or achieve
profitability. These factors could cause our stock price to fall significantly.

IF WE FAIL TO GENERATE SUFFICIENT SUBSCRIPTION, E-COMMERCE AND ADVERTISING
REVENUES, WE MAY NOT BE ABLE TO SUPPORT OUR E-BUSINESS OPERATIONS

We intend to generate revenues from a variety of different arrangements
including offering use of our internet-based services on a monthly subscription
basis, e-commerce transactions for goods and services in addition to services
offered under subscription arrangements, and sales of targeted and untargeted
banner advertising, sponsorships, performance-based arrangements and referrals
to third party Web-sites. We have limited experience marketing and pricing these
types of arrangements, and have limited actual experience with respect to the
performance of such arrangements. As such, we do not know if we are
appropriately pricing, marketing or structuring these arrangements, whether
users of our e-business services will accept a subscription model or make
e-commerce purchases, or whether we will perform under these arrangements to the
satisfaction of the other parties. Our failure to appropriately price, market or
structure these arrangements could impact our ability to generate revenue, to
enter into and perform under these arrangements, or to renew these arrangements
on similar or acceptable terms. In light of these factors, we cannot assure you
that we will be able to generate sufficient subscription, e-commerce or
advertising revenues to support our e-business operations.

OUR BRAND AND BUSINESS COULD BE ADVERSELY AFFECTED IF WE ARE NOT ABLE TO PROTECT
OUR DOMAIN NAMES OR ACQUIRE OTHER RELEVANT DOMAIN NAMES.

We currently have acquired the rights to the Web domain name relating to our
brand, Interact.com, as well as other related Web domain names. The acquisition
and maintenance of domain names generally is regulated by governmental agencies
and their designees. The regulation of domain names in the United States and in
foreign countries is subject to change in the near future. As a result, we may
be unable to acquire or maintain relevant domain names in the countries in which
we conduct, or plan to conduct, business. Furthermore, the relationship between
regulations governing domain names and laws protecting trademarks and similar
proprietary rights is unclear. Therefore, we may be unable to prevent third
parties from acquiring domain names that are similar to, infringe upon, dilute
or otherwise decrease the value of our trademarks and other proprietary rights.

returns to its original creator who plans to "Internet Activate" ACT!

         SCOTTSDALE, AZ, DECEMBER 6, 1999 - SalesLogix Corporation (NASDAQ:
SLGX), a leading provider of CRM and e-commerce software, today announced it has
signed a definitive agreement to acquire ACT!, the world's best selling contact
manager, from Symantec Corporation (NASDAQ: SYMC). The transaction will
significantly expand SalesLogix's share of the $11.5 billion Customer
Relationship Management (CRM) marketplace, adding an immediate estimated
customer base of three million ACT! users. With the recently released ACT!2000
and its own SalesLogix solution, SalesLogix can now offer the leading sales
automation brands for individual users and sales teams in organizations of any
size.

         The acquisition of ACT! - the world's most popular sales and contact
management tool for small businesses, individual sales professionals and
consultants - is the latest move in SalesLogix's strategy to create
Internet-based sales automation solutions that leverage e-business applications
with dynamic content, commerce and community-building Web services. With
offerings that will now span all major segments of the sales community - from
individuals and small businesses to medium and large companies that must manage
the diverse activities of different types of sales channels and partners -
SalesLogix is seeking to gain a major share of the surging B2B sell-side
automation market. This market is projected by analysts like Aberdeen Group, a
Boston, MA market research firm, to grow to $5.5 billion in 2003.

         "There is already an inherent synergy between SalesLogix and ACT!.
That's by design, not coincidence," said SalesLogix president and CEO Pat
Sullivan. "With ACT! now becoming a part of the SalesLogix product offering, we
can more effectively create a completely seamless growth path that enables our
customers to grow within a common application framework -- from individual
salespeople to small businesses to medium-to-large enterprises. We also believe
there is a tremendous opportunity to provide a new class of services to millions
of ACT! and SalesLogix users. With ACT! now added to the mix, we believe we have
now assembled the foundation to own a dominant share of the CRM marketplace, and
have created the scale to compete effectively for leadership of the overall

         Under the terms of the agreement, SalesLogix will acquire the ACT!
product line, through a four year exclusive license of ACT! and a purchase
option at the end of the term, for an aggregate purchase price of $60 million
(including royalties paid during the term), in cash, and common stock valued at
$20 million. SalesLogix will take over the ACT! development, marketing and
support functions, and will continue to sell the ACT! product through its
existing

distribution channels. Upon commencement of the license, ACT! will become an
independent line of business of SalesLogix, and the company will expand its
operations to three lines of business - ACT!, SalesLogix and Interact.com.
Closing of the transaction, which is subject to antitrust review and customary
closing conditions, and commencement of the license is anticipated for early
January.

customer base and to continue development of ACT! through its natural evolution
to an Internet-based application," said John Thompson, president and CEO of
Symantec. "Pat Sullivan has developed a unique, long-term strategy for the

ACT! USERS GAIN ACCESS TO NEW "INTERNET ACTIVATOR" FOR ACT!

         SalesLogix has a clearly defined strategy for ACT!. The market-leading
contact manager will be connected with Interact.com to provide dynamic content,
commerce and community subscription services that are customized for ACT! users.
Through SalesLogix's new Interact.com, ACT! will be transformed into an
"Internet Active" application that is dynamically linked to a wide variety of
Web-based e-commerce services specifically geared to the needs of salespeople.
In this environment, standard ACT! functions such as entering contact
information, making calendar entries, etc., will trigger immediately relevant
Internet services, including:

             Context-sensitive review of Web content on the accounts being
             reviewed

             Dynamic scheduling of travel and hotel bookings through the ACT!
             calendar

             Ability to buy leads based on specific customer profiles

             Automatic e-marketing campaigns for lists of prospects

             Ability to set up private or public Web portals for prospect
             management

         Unlike typical sales portals, a key distinguishing characteristic of an
Internet Activated ACT! is that all information is delivered in a fully
integrated, in-context and relevant manner directly inside the ACT! application.
This level of user convenience means fewer learning curves and simple
"one-click" access to a wide range of services.

         The Internet-activated version of ACT! is in development now with
expected general availability in February 2000. Upon release, services will be
offered on a subscription basis for $19.95 per month. The initial releases of
the service will be free for all registered ACT!2000 users.

ACQUISITION RETURNS BESTSELLING SOFTWARE TO ITS CREATOR

         SalesLogix' acquisition of ACT! will also mark the return of the
software to Sullivan, who in 1987 co-founded Contact Software International,
Inc., and pioneered the contact management software category with the
introduction of ACT! As president of Contact Software, Sullivan oversaw the
evolution and marketing of ACT! until 1993 when he sold it to Symantec. Three
years later, he founded SalesLogix, which is now the fastest growing front
office and e-commerce software company in the world.

         Through Interact.com, the sales community will reap the benefits of a
major product innovation - an Interactive Application Service that delivers
immediate, in-context Internet services and content to users as they are working
in their sales applications. Unlike other vendors' B2B sell-side offerings that
require users to visit a Web portal to access services, the Internet Activators
in Interact.com transform ACT!, SalesLogix, and other traditional CRM
applications into "cockpits" from which users can access Web services, on-demand

         Interact.com services to be delivered through SalesLogix, ACT!,

- -     Integrated Commerce and Support Services. Lead management services allow
      users to purchase leads which are then seamlessly added to the their lead
      database. Online travel services for booking and exchanging tickets,
      reserving hotel and rental cars, etc., are presented to users as
      appropriate when they make entries into their calendars. To use these and
      other services, at no time does the sales rep have to leave the
      application because the application and the Web are 'married.'

- -     Personalized Portals and Websites. Salespeople will be able to create any
      number of private Web-based communities of their own that will enable them
      to interact and negotiate with prospects, customers, and partners. With
      just a few clicks, a unique and secure Web site can be set up for each
      customer that can be accessed by the customer. The customer can log in and
      can create other accounts for other people as appropriate, such as
      colleagues and partners. The site offers a single point of access to the
      documents, data and dialogue needed to close a deal. All activity on the
      site is logged - e.g., who accessed what on the site and how much time
      they spent - making it possible to gauge the level of a customer's
      knowledge or interest.

- -    Relevant Content and Community Services. Content aggregators will feed
     focused content that is useful to the Interact.com community. This includes
     news, stock quotes, strategy and performance information, credit status,
     etc., on both public and private companies. Additional community services
     include online chat, forums and events that are customized to specific
     sales audiences or industries.

LEADING E-COMMERCE PROVIDERS LINE UP TO SUPPORT INTERACT.COM
         SalesLogix has lined up an impressive array of e-commerce providers to
aid in the launch of Interact.com. The company announced that 16 providers of
infrastructure, content, commerce, and community services have been assembled to
support the site. Through Interact.com these e-commerce and e-services companies
will have unprecedented access to the more than 42 million sales professionals
who are candidates to use the Internet Activator for SalesLogix, ACT!, and other
popular CRM applications to manage their sales processes and day-to-day
