On July 30, 2000, the Company signed a definitive purchase agreement to
acquire all the outstanding capital stock of Howe-Baker International, Inc. from
WEDGE Group Incorporated.
A copy of (i) the Company's press release dated July 31, 2000 and (ii)
the definitive purchase agreement setting forth the terms and conditions of the
acquisition are attached as exhibits hereto.
