The diversion of management effort toward the completion of a private financing
caused a delay in the commencement of the preparation of the Form 10-K for the
year ended December 31, 1999.

The Consolidated Statement of Operations for the year ended December
31, 1999 will reflect net income of approximately $0.9 million, as
compared to a net loss of approximately $61.8 million for the year
ended December 31, 1998. The 1998 loss was principally the result of
impairment write-downs on the Company's management services agreements.

Exchange Commission, Washington, D.C. 20549 in accordance with Rule 0-3
of the General Rules and Regulations under the Act. The information
contained in or filed with the form will be made a matter of public
