         The Company and its accountants were unable to complete the review of
its financial statements, as required by Regulation S-B, Item 301(3)(b), to meet
the deadline for filing Form 10-QSB for the quarter ended September 30, 2000.
The review was completed on November 15, 2000 and the Form 10-QSB will be filed
on November 15, 2000.

         The Registrant reasonably expects to file its quarterly report on Form
10-Q for the quarter ended September 30, 2000, no later than the fifth calendar
day following the due date, in accordance with Rule 12b-25(b)(2)(ii).
