Explanation of Responses:
(1) Disposed of 3,982,600 shares of ORA Electroinics, Inc. common stock (the
"Stock") pursuant to the terms of a Stock Purchase Agreement ("SPA")
dated May 23, 2000, by and between SATX, Inc. and the Cooper Living Trust
(established April 19, 1990) (the "Trust"). In consideration for the
sale of the 3,982,600 shares of common stock, the Trust received: (1)
$150,000 in cash; (2) a promissory note in the principal amount of
$23,185, payable in twelve monthly installments; (3) 400,000 shares of
SATX, Inc.'s common stock; and, (4) SATX, Inc.'s assumption of liability
under a promissory note payable to the Issuer in the amount of $299,347
(excluding interest). On the effective date of the SPA, the closing price
of SATX, Inc.'s common stock was $.675 per share, and the closing price
of ORA Electronics, Inc.'s common stock was $.75 per share. This
transaction was reported by ORA Electronics, Inc. in an 8-K filed May 24,
2000.
