PART III. NARRATIVE
State below in reasonable detail the reasons why Form 10-K, 11-K, 20-F,
10-Q, N-SAR or the transition report portion thereof could not be filed within
the prescribed time period. (Attach extra sheets if needed.)
Registrant requires additional time to complete certain disclosure
information necessary to accurately complete Form 10-QSB for the period ended
December 31, 1999. In September, 1999, there was a change in the President of
the Company. As a result of the change in the interim period between the filing
of the most recent Form 10-QSB there was a need to bring the new President up to
speed with the financial condition of the Company which also included review and
approval of new employment agreements, stock option plans and new deals for the
Company. In addition, the Company had a one-time charge in connection with in
connection with the closing of its Canadian operations. Specifically, the
Company's write-off of their NYE Year 2000 software tool.

EXHIBIT 1
The write-off of the NYE Year 2000 software tool will impact the
Company's financials by approximately $704,000 this quarter, which will decrease
its results of operations by the $704,000.
