          The Amended and Restated Articles of Incorporation of
the Company contain provisions eliminating the personal liability of
the directors to the Company or its shareholders to the fullest
extent permitted under the California General Corporations Law. 
The Bylaws of the Company provide for indemnification of
directors, officers, employees and agents of the Company consistent with the
provisions of the California General Corporation Law.  The Company
also has entered into Indemnity Agreements with each director and
officer of the Company.
