Explanation of Responses:
(a) On September 28, 1998, Varlen Corporation declared a 25% stock dividend
payable to all holders of record of common stock on October 30,
1998. As a result ot the stock dividend, the reporting person received on
November 17, 1998, an additional 1,128 shares of common stock.
