Response: The compilation of the financial and other information necessary for
the Registrant's Quarterly Report on Form 10-QSB for the quarterly period ended
March 31, 2000 has been delayed due to delays in the preparation of and
independent accountant review of financial information necessary to complete the
Form 10-Q.

Response: The Registrant anticipates reporting a loss of at least
$375,000 due to increased charge-offs related to its second chance automobile
loan program. A complete review of the program is being undertaken which may
result in the recognition of additional charge-offs.
