State below in reasonable detail the reasons why the Form 10-K, 20-F, 11-K,
10-Q, or N-SAR, or the transition report or portion thereof could not be filed
within the prescribed time period.
On August 31, 1999 the Company acquired East Coast Beverage Corp. ("ECBC").
The acquisition of ECBC is considered a reverse acquisition for financial
reporting purposes. As a result, the financial statements to be filed with the
Company's report on Form 10-QSB for the quarter ending September 30, 1999 will
be the historical financial statements of ECBC, consolidated with the Company as
of August 31, 1999. Since the Company has not previously filed any unaudited
financial statements of ECBC, additional time is needed to complete these
financial statements and the related footnotes to the financial statements.
