            WORLD WIRELESS COMMUNICATIONS, INC. (THE "COMPANY") IS WAITING
       FOR THE COMPLETION OF ITS UNAUDITED FINANCIAL STATEMENT TO BE INCLUDED
       IN ITS REPORT ON FORM 10-Q FOR THE QUARTER ENDED JUNE 30, 1999.
       THE COMPLETION OF SUCH REPORT HAS BEEN DELAYED DUE TO MANAGEMENT'S
       REVIEW OF CERTAIN ITEMS IN CONNECTION WITH THE COMPANY'S OPERATIONS.
       THE COMPANY INTENDS TO FILE ITS REPORT ON FORM 10-Q FOR THE QUARTER

                        PART IV (3) - EXPLANATION OF SIGNIFICANT
                            CHANGE IN RESULTS OF OPERATIONS


          The Registrant's estimated sales for the six-month period is
     approximately $1,670,000, which is approximately $700,000 lower than
     the sales for the six-month period ended June 30, 1998. The
     Registrant's estimated loss for the quarter ended June 30, 1999 is
     approximately $2,208,000, which is approximately $779,000 lower than
     the loss for the quarter ended June 30, 1998. Such reduced loss was
     attributable to (a) lower operating expenses of approximately $72,000,
     due in part to a reduced number of employees, (b) lower research and
     development expenses of approximately $850,000, but (c) increased
     interest charges of approximately $255,000 incurred in
     connection with the issuance of warrants pursuant to default terms of
     the Registrant's bridge financing in May, 1999.
