AMENDMENT
TO THE
CERTIFICATE OF INCORPORATION
OF
QUAKER FABRIC CORPORATION
The undersigned, Larry A. Liebenow, certifies that he is the
President and Chief Executive Officer of Quaker Fabric Corporation,
a corporation organized and existing under the laws of the State of
Delaware (the "Corporation"), and does hereby further certify as
follows:
(1) The name of the Corporation is Quaker Fabric
Corporation.
(2) The Certificate of Incorporation of the
Corporation was filed with the Secretary of
State of the State of Delaware on May 18, 1987
and amended by a Certificate of Amendment to
the Certificate of Incorporation of the
Corporation filed with the Secretary of State
of the State of Delaware on October 31, 1990.
(3) This Amendment to the Certificate of
Incorporation of the Corporation was duly
adopted in accordance with the provisions of
Sections 228 and 242 of the General
Corporation Law of the State of Delaware.
(4) The first paragraph of Article FOURTH of
the Certificate of Incorporation of the
Corporation is hereby amended to state as
follows:
FOURTH: The total number of shares of all
classes of stock which the Corporation shall
have authority to issue is (i) 20,000,000
shares of Common Stock, $.01 par value per
share ("Common Stock") and (ii) 50,000 shares
of Preferred Stock, $.01 par value per share
("Preferred Stock").
