Part III - Narrative

State below in reasonable detail the reasons why Forms 10-K and 10-KSB, 20-F,
11-K, 10-Q and Form 10-QSB, N-SAR or the transition report or portion hereof,
could not be filed within the prescribed period.

The audit of the Registrant's financial statements for the period ending January
1, 2000 was not completed on or before the date on which the Registrant's report
on form 10-K was due to be filed, resulting in a late filing on April 17, 2000.
The subsequent quarterly reporting has also been affected by this delay.  The
Registrant's report on form 10-Q for the period ending April 1, 2000 will not be
complete by the required filing date, however we believe at this time that the
report will be filed within the grace period provide for under Rule 12b-25.
