adviser to the fund. Although the fund filed a registration statement
on Form N-2, the fund did not commence operations and, therefore, the
fund did not enter into an investment advisory agreement with the
Adviser.

the interests in the fund. Although the fund filed a registration
statement on Form N-2, the fund did not commence operations and did
not make any offering of its

agreement with the Distributor.

Although the fund filed a registration statement on Form N-2, the fund
did not commence operations. As explained in the fund's registration
statement, the ultimate responsibility for the affairs of the fund
were to be vested in five individual general partners (the "Individual
General Partners"), who were to have the same powers, authority and
responsibilities as those of directors of registered investment
companies organized as corporations. Because the fund did not
commence operations, no Individual General Partners were elected and
no meetings of the Individual General Partners were held.
Thus, the only approval required for the filing of this Application
for Deregistration on Form N-8F, is that of LEVCO GP, Inc., the sole
general partner of the fund. This Form N-8F has been executed by a
duly authorized officer of LEVCO GP, Inc.
