expense and the registrant seeks relief pursuant to Rule 12B-25(b), the

PART III -- NARRATIVE

State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K,
10-Q, N-SAR, or the transition report or portion thereof, could not be
filed within the prescribed time period.

The Company previously issued a private placement of 9-month promissory
notes ("Notes").  The Notes were sold and serviced by an investment banking
firm, who relied on a federal exemption from registration. While the
Company believes it properly met the "commercial paper" exemption and used
the proceeds from the Notes to acquire real estate, a few states have found
the Company to be in violation of their particular state regulations.  At
the advise of Legal Counsel, the Company voluntarily ceased all sales and
renewals of the Notes.  In addition, the Company has taken back the
servicing and accounting of the Notes, including payoffs, accruals and
monthly interest payments.  In order to protect the Noteholders, the
Company has diverted a lot time and resources and spent an enormous amount
of accounting hours to effect a smooth transition.  This will require
additional time to complete the year end audit.

The Company expects to file the audited financial statements for the year
ending April 30, 2000 no later than August 14, 2000.
