Explanation of Responses:
(1) Transfer of shares to Depping 1999 Investment Limited Partnership
("DILP"), a limited partnership of which the reporting person and
his wife are the sole general partners and the reporting person and
his wife were then the sole limited partners.
(2) Represents gifts of limited partnership interests in DILP to the reporting
persons' four minor children. Each gift represented approximately a 1%
interest in DILP.
