within the prescribed time period.
On May 8, 1998 the registrant consummated a stock transfer and
exchange with an operating company, Vector Energy Corporation
whereby a change in control of the registrant was effected.
This is the first quarterly report on form 10-QSB which will
contain information concerning the operations of Vector Energy
Corporation, and the registrant needs additional time to prepare
this information. Consequently, the registrant's Form 10-QSB
could not be filed without unreasonable effort and expense.

Results of operations from the corresponding period of the preceding
fiscal year were those of the registrant's predecessor, Sunburst
Acquisitions II, Inc., a shell company engaged in the evaluation of
potential merger candidates. The current quarter's results of
operations are those of the operating oil and gas company, Vector
Energy Corporation.
