The Company is in the process of completing negotiations for funding and debt
repayment that it believes will resolve certain liquidity issues and will cause
the 10-Q to more accurately reflect the current financial condition of the
Company. These negotiations could not be completed by November 14, 2000 without
unreasonable effort and expense. There can be no assurance, however, that these
transactions will be completed.
