Explanation of Responses:
(1) The WMF Group, Ltd. ("WMF") issued these shares in
consideration for services provided by Mr. Greco in
connection with his employment. Mr. Greco directed
that the shares be issued in his spouse's name.
(2) Shares owned by Mr. Greco's spouse, who owns a total of 27,598
shares of Common Stock. Mr. Greco disclaims beneficial ownership
of these shares.
(3) Mr. Greco transferred these shares of Common Stock to his spouse
as a bona fide gift. Mrs. Greco did not pay, and Mr. Greco did not
receive, any consideration for the transfer of these shares.
(4) Total includes 13,174 shares directly held by Mr. Greco and 27,598
shares held indirectly by Mr. Greco through his spouse. Mr. Greco
disclaims beneficial ownership of the shares owned by his spouse.
