1. Shares acquired upon the exercise of 69,073 rights received by Commonwealth
Overseas Trading Company Limited ("Commonwealth Overseas Trading") during the
Company's rights offering to its shareholders. During the rights offering, each
of the Company's shareholders received 1.072 transferable rights for each share
of common stock owned on February 1, 1999. Each right entitled its holder to
purchase one share of the Company's common stock for $5.00. Mr. Al-Tuwaijri
owns 92 percent of Commonwealth Overseas Trading. Commonwealth Overseas Trading
received and exercised a total of 75,040 rights during the rights offering.
2. Shares owned by Commonwealth Overseas Trading. Mr. Al-Tuwaijri owns 92
percent of Commonwealth Overseas Trading, which owns a total of 145,040 shares
of the Company's common stock.
