The audit of the Registrant's financial statements for its fiscal
year ended December 31, 1999, has not been completed. Final
information from the audited financial statements is required for
purposes of completion of certain portions of the report on Form
10-KSB, and the completed audited statements must be included in
the Registrant's report on Form 10-KSB.
