On August 6, 1999, Forman Petroleum Corporation filed a voluntary petition
for relief under Chapter 11 of the United States Bankruptcy Code in the United
States Bankruptcy Court for the Eastern District of Louisiana. Because of the
significant administrative burdens imposed in connection with the filing of the
Chapter 11 petition and complying with the requirements of the Bankruptcy Court
in that proceeding, the Registrant requires additional time to prepare the
Quarterly Report on Form 10-Q for the period ended September 30, 1999.
