ITEM 1.     SECURITY AND ISSUER.

            This statement relates to the Common Stock, par value $0.01 per
share (the "Common Stock"), of Neutral Posture Ergonomics, Inc., a Texas
corporation (the "Company"). The address of the principal executive offices of
the Company is 3904 N. Texas Avenue Bryan, Texas 77803.

ITEM 2.     IDENTITY AND BACKGROUND.

            This statement is filed on behalf of Rebecca Boenigk.

            Mrs. Boenigk's business address is 3904 N. Texas Avenue, Bryan,
Texas, 77803 and her present principal occupation or employment at such address
is serving as the Chairman of the Board and Chief Executive Officer of the
Company. The Company manufactures, markets and distributes office, multi-task
and ergonomic seating.

            Mrs. Boenigk has not, during the last five years, been convicted in
a criminal proceeding (excluding traffic violations and similar misdemeanors).

            Mrs. Boenigk has not, during the last five years, been a party to a
court proceeding of a judicial or administrative body of competent jurisdiction
and as a result of such proceeding was or is subject to a judgment, decree or
final order enjoining future violations of, prohibiting or mandating activities
subject to, federal or state securities laws or finding any violation with
respect to such laws.

            Mrs. Boenigk is a citizen of the United States of America.

ITEM 3.     SOURCE AND AMOUNTS OF FUNDS OR OTHER CONSIDERATION.

            The 500 shares of Common Stock acquired by the Reporting Person on
the open market were acquired with $1,750 in personal funds. The 600 shares of
common stock acquired by the Reporting Person on the open market and gifted to
her children were acquired with $1,762 in personal funds. The 100 shares of
Common Stock were granted to her by the Company under the Company's 1997 Omnibus
Securities Plan. The Reporting Person also gifted an aggregate of 6,600 shares
of Common Stock to her children and 1,700 shares of Common Stock to a third
party.

ITEM 4.     PURPOSE OF THE TRANSACTION.

            Mrs. Boenigk holds these shares for investment purposes. The
Reporting Person has no present plans or intentions which would result in or
relate to any of the transactions described in Subparagraphs (a) through (j) of
Item 4 of Schedule 13D.

            The Reporting Person reserves the right to acquire additional
securities of the Company, to dispose of such securities at any time, or to
formulate other purposes, plans or proposals regarding the Company or any of its
securities, to the extent deemed advisable in light of her investment goals,
market conditions or other factors.

ITEM 5.     INTEREST IN SECURITIES OF THE ISSUER.

      (a) Rebecca Boenigk, owns of record 879,610 shares of Common Stock
(representing approximately 26.6% of the shares of Common Stock outstanding on
December 31, 1998, based on information supplied by the Company to the Reporting
Person). Rebecca Boenigk may be deemed to be the beneficial owner of an
aggregate of 891,510 shares of Common Stock (representing approximately 26.9% of
the shares of Common Stock outstanding on December 31, 1998, based on
information supplied by the Company to the Reporting Person), which number
includes, in addition to the 879,610 shares owned of record by her, 5,950 shares
owned of record by Mrs. Boenigk's

daughter's UGMA account, and 5,950 shares owned of record by Mrs. Boenigk's
son's UGMA account, of which Mrs. Boenigk's husband is the custodian.

      (b) Mrs. Boenigk has sole power to vote or direct to vote and sole power
to dispose or to direct to dispose of the 891,510 shares of Common Stock.

      (c) Except as disclosed herein, in the past 60 days, Mrs. Boenigk has not
engaged in any transactions in respect of shares of Common Stock.

      (d) Rebecca Boenigk has the sole right to receive and the power to direct
the receipt of dividends from or the proceeds from the sale of the 879,610
shares of Common Stock owned of record by her.

      (e) Not Applicable.


ITEM 6.     CONTRACTS, ARRANGEMENTS, UNDERSTANDINGS OR RELATIONSHIPS WITH 
            RESPECT TO SECURITIES OF THE ISSUER.

            Rebecca Boenigk is the daughter of Jaye Congleton, who owns over 5%
of the Common Stock and is the Executive Vice President, Secretary and a
director of the Company.
