AMENDMENT NO. 1 TO
STATEMENT ON SCHEDULE 13D
Introductory Note: All information herein with respect to Quanta Services,
Inc., a Delaware corporation ("Issuer") and the common stock, par value $.00001
per share of the Issuer ("Common Stock") is to the best knowledge and belief of
the Reporting Entities, as defined herein. This joint Schedule 13D of Enron
Corp., an Oregon corporation ("Enron"), Enron Capital & Trade Resources Corp., a
Delaware corporation ("ECT"), and Joint Energy Development Investments II
Limited Partnership, a Delaware limited partnership ("JEDI II") is amended as
follows.
ITEM 2. IDENTITY AND BACKGROUND, ITEM 4. PURPOSE OF TRANSACTION AND ITEM 5.
INTEREST IN SECURITIES OF THE ISSUER.
As a result of transactions effected on December 31, 1998, the 6 7/8%
Convertible Promissory Note due 2010 in the aggregate principal amount of
$12,337,500.00 of the Issuer presented herein (the "Securities"), that were held
by ECT and ECT's rights and obligations under (i) the Securities Purchase
Agreement dated September 29, 1998 and (ii) the Registration Rights Agreement
dated September 29, 1998 (together with (i) above, the "Agreements") were
contributed to ECT Merchant Investments Corp., a Delaware corporation ("ECT
Investments"), as part of an internal reorganization of the merchant asset
portfolio of Enron and its subsidiaries and affiliates. ECT Investments is a
wholly owned subsidiary of ECT.
This Schedule 13D/A is being filed by (i) ECT Investments, as its initial
filing of Schedule 13D, whose principal business is the ownership and management
of a diversified portfolio of energy related investments, (ii) JEDI II, (iii)
ECT and (iv) Enron. ECT Investments, JEDI II, ECT and Enron are referred to
herein as the "Reporting Entities."
The address of the principal business office of ECT Investments is 1400
Smith Street, Houston, Texas 77002. Schedule I attached hereto sets forth
certain additional information with respect to each director and executive
officer of ECT Investments, in addition to the directors and executive officers
of Enron, ECT and Enron Capital II Corp. The filing of this statement on
Schedule 13D shall not be construed as an admission that Enron or, to its
knowledge, any person listed in Schedule I is, for the purposes of Schedule
13(d) or 13(g) of the Act, the beneficial owner of any securities covered by
this Statement.
None of the Reporting Entities or, to their knowledge, any person listed on
Schedules I hereto has been, during the last five years (a) convicted of any
criminal proceeding (excluding traffic violations or similar misdemeanors) or
(b) a party to a civil proceeding of a judicial or administrative body of
competent jurisdiction and as a result of such proceeding was or is subject to a
judgment, decree or final order enjoining future violations of, or prohibiting
or mandating activities subject to, U. S. federal or state securities laws or
finding any violations with respect to such laws.
The Securities are being held by ECT Investments for investment purposes.
ECT Investments intends to review its investment in the Issuer on a continuing
basis, and, depending upon the price of, and other market conditions relating
to, the Common Stock, subsequent developments affecting the Issuer, the Issuer's
business and prospects, other investment and business opportunities available to
ECT Investments, general stock market and economic conditions, tax
considerations and other factors deemed relevant, may decide to increase or
decrease the size of its investment in the Issuer.

ECT is no longer the record holder of any of the Securities. However, ECT
Investments directly owns a 6 7/8% Convertible Promissory Note in the aggregate
principal amount of $12,337,500.00 and the shares of Common Stock issuable upon
conversion thereof, which were previously held in the name of ECT. If the entire
principal amount of the Securities was converted into Common Stock, the 897,272
shares of Common Stock, subject to adjustment under certain circumstances, that
would then be owned by ECT Investments would represent approximately 4.6% of
the outstanding Common Stock (based on the number of shares of Common Stock
outstanding as of November 13, 1998, as reported by the Issuer on its Form 10-Q
for the quarter ended September 30, 1998). Enron and ECT may also be deemed to
beneficially own the Common Stock and the other Securities held by ECT
Investments. Enron disclaims beneficial ownership of such securities.
ECT, ECT Investments and Enron may be deemed to share voting and
dispositive power over the Securities held by ECT Investments.
Other than the transactions described herein, none of the Reporting
Entities, nor to their knowledge any of the persons named in Schedule I hereto,
has effected any transactions in the Common Stock during the preceding sixty
days.

to the Common Stock, $.01 par value, of Quanta Services, Inc. is adopted
