ElderTrust is in the process of revising the Form 10-K to reflect the recent
announcements by Genesis Health Ventures, Inc., ElderTrust's principal tenant,
and The Multicare Companies, Inc., a 43.6% consolidated subsidiary of Genesis,
that both those companies had begun debt restructuring discussions with their
senior lenders. ElderTrust was unable to complete the revisions prior to the
March 30, 2000 Form 10-K filing deadline.
