"Company"), is filing this Post-Effective Amendment No. 1
(this "Amendment") to its Registration Statement on Form S-8
(File No. 333-65325), filed with the Securities and Exchange
Commission on October 5, 1998, to deregister $130,000 principal
amount of 1998 Series Convertible Debentures of the Company,
which were registered for issuance under the Company's Employee
Ownership Plan and not sold.
