                                    NARRATIVE

         State below in reasonable detail the reasons why Form 10-K and 10-KSB,
20-F, 11-K, 10-Q and 10-QSB, N-SAR, or the transition report or portion thereof
could not be filed within the prescribed period.

         The Company recently entered into a definitive agreement to sell
substantially all of the Company's assets and business operations. To consumate
the sale, the Company filed a voluntary petition under Chapter 11 in the United
State Bankruptcy Court. As a result of these activities the Company was unable
to file it's quarterly report on a timely basis.
