S-3, filed with the Commission on January 15, 1997, as amended on February 7,
1997 (Registration Statement No. 333-19789) (the "Registration Statement") is
being filed for the purpose of deregistering all of the shares of Common Stock,
$0.01 par value per share, of Wang Laboratories, Inc. registered pursuant to the
