SUMMARY OF PLAN AMENDMENTS
EFFECTIVE MAY 1, 1995
Baxter Qualified Employee Stock Purchase Plan changes effective May 1, 1995:
- - JOIN THE PLAN BY CONTRIBUTING AS LITTLE AS 2% OF YOUR PAY. Minimum payroll
deductions to participate in the Employee Stock Purchase Plan are reduced to
2% from 4%. This change will allow employees to elect 2%, 4%, 8% or 12%
payroll deductions.
- - ACQUIRE SHARES IN SMALLER LOTS. Shares purchased through the Employee Stock
Purchase Plan may be purchased in 20 share increments. Beginning May 1,
shares may be purchased in 10 share increments.
To reduce Baxter's cost in issuing stock certificates, particularly now that
stock may be purchased in 10 share increments, a $5.00 fee per certificate
issued will be charged for each certificate evidencing less than 100 shares.
