to a death in the family of the Company's chief executive officer
(who also serves as the principal financial and accounting

Attachment A

The Company expects to report a net loss for the three
months ended March 31, 1998 of approximately $43,000 as compared
to a net profit for the three months ended March 31, 1997 of
approximately $77,000. The decline in profits in the three
months ended March 31, 1998 is attributable to an increase in the
provision for loan losses.
