     Pursuant to Rule 13d-2(b) of Regulation 13D-G under the Securities
Exchange Act of 1934, as amended, the Schedule 13G initially filed on
November 3, 1998 by Richard L. Chilton, Jr. with respect to the common
stock (the "Common Stock"), par value $.01 per share, of Brass Eagle Inc.,
a Delaware corporation, as amended by Amendment No. 1 to the Schedule 13G,
filed February 16, 1999 (as amended, the "Schedule 13G"), is hereby further
amended by this Amendment No. 2 to the Schedule 13G to report a change in
the information reported in the previous filing on Schedule 13G. Since the
filing person no longer beneficially owns more than 5% of the Common Stock,
this filing constitutes the filing person's final statement on Schedule 13G
with respect to the Common Stock. The Schedule 13G is hereby amended as
follows:


     Clauses (a)-(c) of Item 2 are hereby amended and restated in their
entirety to read:
